Things that need to happen, made to happen.

Schedule 1 — Terms of Engagement

Founders bring me in when there is a deal that has to happen — and they need someone to run it, not write about it.

1.1
The Operator is engaged to run a single commercial process from origination to execution: sourcing the counterparty, constructing the case, and conducting the negotiation.
1.2
The engagement concludes when the process is signed, or when the Operator determines it cannot be — whichever occurs first. The second determination is made early and communicated plainly.
2.1
The Operator holds no more than three concurrent engagements. This is a constraint of the model, not of availability.
2.2
Where a prospective engagement conflicts with                     , it is declined without discussion.
3.1
Matters disclosed in the course of an engagement remain undisclosed thereafter — including in the description of the engagement itself.

§

Four deal types. The mechanics don't change.

01Capital — raises, from positioning to term sheet
02Partnerships — sourced, structured, negotiated
03Sponsorship — rights built around the buyer's metric
04Exit — preparation through completion

The most expensive possible outcome is the slow no. That is the only outcome we remove.
